It’s free to list your business on letuscater.com and No sign-up, or setup fees for listing on letuscater.com and
restaurants/ caterers have the ability to change menu items, hours of operations and more. Letuscater commission
fees on all accepted orders by the merchants (restaurants and caterers) 15% plus Credit card processing fees on
the total receipt will be charged on all accepted orders directly from letuscater.com with no hidden fees.
If Letuscater Provides deliver for the online catering orders then Letuscater keeps the complete deliver fee and
gratuity to pay for this service and the fee will be on the food and beverage and tax.
The Customer agrees that Letuscater will collect the total order amount from the End User. Then, Letuscater will
reimburse the Customer for all eligible purchases less the service fee along with all ineligible purchase amounts
twice a month. Typically around the 15th and end of each month.

the merchant dashboard.
How to sign-up for a merchant account
When you join letuscater for your restaurants or catering company you will be given an admin email created by
letuscater.com customer service team then you can login to the app (letusmanage) or login on your computer or your
phone to access the restaurant dashboard.
How You Receive Orders
Incoming orders notifications are sent through the LetUsManage App, Email or Fax and the After the merchants has
an active account with letuscater the merchant has the ability to accept or deny any placed order.
PARTNERSHIP Agreement:
IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations set forth in this
Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, the parties to this
Agreement agree as follows:
Services Provided
The Customer hereby agrees to engage Letuscater to provide the Customer with services consisting of placement of
the Customer on the Letuscater.com website. Letuscater has created Letuscater.com to be a portal for business
professionals “End Users” to place online orders for business food and other products and services. Letuscater
will actively market to End Users in order to increase the catering business of the Customer by positioning
Letuscater.com as a first rate e-commerce solution. Payment will be collected by Letuscater from the End User and
subsequently reimbursed to the Customer less a service fee. In addition, other services may be provided as the
Customer and Letuscater agree upon from time to time (the "Services"), and Letuscater hereby agrees to provide
such Services to the Customer.
The Customer herby agrees to engage the online catering menu from Letuscater on the customer’s web site for online
catering ordering. Payment will be collected by Letuscater from the End User and subsequently reimbursed to the
Customer less a service fee.
Term of Agreement
The term of this Agreement will begin on the date of this Agreement and will continue for fifteen years unless
terminated as provided in this Agreement.
Letuscater reserves the right to terminate this Agreement if is deemed that the Customer is underperforming its
duties. Underperformance is defined as negative feedback from End Users of Letuscater .com
In the event that either party wishes to terminate this Agreement, that party will be required to provide a
written notice. Termination will be effective 10 days after receipt of written notice.
The obligations of Letuscater under this Agreement will terminate upon the earlier of Letuscater ceasing to be
engaged by the Customer or the termination of this Agreement by the Customer or Letuscater.
Performance
The parties agree to do everything necessary to ensure that the terms of this Agreement take effect.
Sales Tax
The Customer agrees to provide the Service Provider instructions for computing sales tax for items purchased
including delivery fee and the Customer is responsible for taxes associated with all sales.
Additional Compensation
Letuscater understands that its compensation as provided in this Agreement will constitute the full and exclusive
monetary consideration and compensation for all services performed by Letuscater and for the performance of all
the promises and obligations under this Agreement.
Provision of Extras
The Customer will provide assistance and extras for the use of Letuscater in providing the Services. The following
will be required from the Customer:
Permission to use the Customer’s Logo on the Letuscater .com and letuscater.com websites and other marketing
material
Permission to use Customer’s trademark and copyrighted material on the Letuscater .com and letuscater.com website
and other marketing material.
Menu Ownership
Letuscater offers assistance with our expertise in generating effective catering menus included with our startup
fee. If Letuscater helps in generating catering menus with our No Hassle package concept, Letuscater and Customer
jointly own that menu and Letuscater gives permission to Customer to use free of charge for use on Customer’s web
site and printed menus. Customers cannot use it on another web site without our written permission from Letuscater
and if our agreement is terminated for any reason by either party, Letuscater will charge an additional fee of
$900 to give sole ownership to Customer.
Reimbursement of Expenses
Letuscater will not be reimbursed for expenses incurred in connection with providing the Services of this
Agreement.
Payment Penalties
No late payment penalty will be charged if the Customer does not comply with the rates, amounts or dates of pay
provided in this Agreement.
Performance Penalties
No performance penalty will be charged if Letuscater does not perform the Services within the time frame provided
by this Agreement.
Confidentiality
Letuscater agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any confidential
information with respect to the business of the Customer, which Letuscater has obtained, except as may be
necessary or desirable to further the business interests of the Customer. This obligation will survive
indefinitely upon termination of this Agreement.
Return of Property
Upon the expiry or termination of this Agreement, Letuscater will return to the Customer any property,
documentation, records, or confidential information which is the property of the Customer.
Letuscater will not voluntarily or by operation of law assign or otherwise transfer its obligations under this
Agreement without the prior written consent of the Customer.
Capacity/Independent Contractor
It is expressly agreed that Letuscater is acting as an independent contractor and not as an employee in providing
the Services under this Agreement. Letuscater and the Customer acknowledge that this Agreement does not create a
partnership or joint venture between them, and is exclusively a contract for service.
Modification of Agreement
Any amendment or modification of this Agreement or additional obligation assumed by either party in connection
with this Agreement will only be binding if evidenced in writing signed by each party or an authorized
representative of each party.
Costs and Legal Expenses
In the event that legal action is brought to enforce or interpret any term of this Agreement, the prevailing party
will be entitled to recover, in addition to any other damages or award, all reasonable legal costs and fees
associated with the action.
Entire Agreement
It is agreed that there is no representation, warranty, collateral agreement or condition affecting this Agreement
except as expressly provided in this Agreement. This is the entire agreement between the parties. It replaces and
supersedes any and all oral agreements between the parties, as well as any prior writings.
Limitation of Liability
It is understood and agreed that Letuscater will have no liability to the Customer or any other party for any loss
or damage (whether direct, indirect, or consequential) which may arise from the provision of the Services.
Currency
Except as otherwise provided in this Agreement, all monetary amounts referred to in this Agreement are in United
States dollars.
Titles/Gender
Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the
feminine and vice versa.
Headings
Headings are inserted for the convenience of the parties only and are not to be considered when interpreting this
Agreement.
Governing Law
It is the intention of the parties to this Agreement that this Agreement and the performance under this Agreement,
and all suits and special proceedings under this Agreement, be construed in accordance with and governed, to the
exclusion of the law of any other forum, by the laws of the State of Illinois, without regard to the jurisdiction
in which any action or special proceeding may be instituted.
Severability
In the event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in
part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or
unenforceable parts severed from the remainder of this Agreement.
Waiver
The waiver by either party of a breach, default, delay or omission of any of the provisions of this Agreement by
the other party will not be construed as a waiver of any subsequent breach of the same or other provisions.
